The Management Board of XTB S.A. (the “Company”, the “Issuer”) announces that today the Company has learned that on October 2, 2023, the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register (the “Court”) registered amendments to the Company’s Articles of Association consisting in amending §7.1 of the Company’s Articles of Association made pursuant to Resolution No. 3 of the Issuer’s Extraordinary General Meeting of July 31, 2023. on amending the Company’s Articles of Association, increasing the share capital through the issuance of new shares to be offered to persons whose professional activities have a significant impact on the Company’s risk profile (“Eligible Persons”) and the exclusion of the subscription rights of existing shareholders.
Also today, the Company learned of the Court’s registration on September 7, 2023 of amendments to the Company’s Articles of Incorporation consisting of: § 11 (4). § 13 (2), § 15 (7), § 17 (7), § 19 (1) and (2) par. (p) and adding: paragraph 5 in § 1, paragraph 7 in § 11, paragraph 1(1) in § 12, paragraphs 9. and 10 in Paragraph 15, Paragraphs 3, 4. 5 and 6 in Paragraph 19 made pursuant to Resolution No. 19 of the Company’s Annual General Meeting of June 30, 2023 on amending the Company’s Articles of Association.
In connection with the amendment of § 7 of the Company’s Articles of Association registered by the Court, the Issuer indicates that currently the Company’s share capital amounts to PLN 5,878,462.55 and is divided into 117,383,635 series A shares with a nominal value of PLN 0.05 each, and 185,616 series B shares with a nominal value of PLN 0.05.
The total number of votes arising from all issued shares is 117,569,251.
The content of the amended provisions, together with the consolidated text of the Articles of Association incorporating the aforementioned changes, is provided by the Issuer in the attachment to this current report.
