The Management Board of XTB S.A. (the “Company”) informs that on October 27, 2023, it received the Statement No. 1002/2023 [Statement] issued by the National Depository for Securities [Polish: KDWP], in which the KDPW informed that it had entered into an agreement with the Company for the registration in the securities depository of 185,616 Series B ordinary bearer shares with a nominal value of PLN 0.05 per share, issued on the basis of Resolution No. 3 of the Issuer’s Extraordinary General Meeting of July 31, 2023 on amending the Company’s Articles of Association, increasing the share capital through the issuance of new shares to be offered to persons whose professional activities have a significant impact on the Company’s risk profile, and excluding the subscription rights of existing shareholders.
In accordance with the Statement issued, the registration of series B shares will take place within 3 days of the receipt by the KDPW of a decision on the introduction of the above shares to trading on the regulated market to which other shares of the Issuer bearing the same ISIN code have been introduced, but not earlier than the date specified in that decision as the date of introduction of these shares to trading on that regulated market.
